Guidewire Bets $1.7 Billion in Cash That AI Agents Will Sit Beside Human Underwriters
Guidewire agreed to buy hyperexponential for $1.7B in cash plus up to $400M tied to recurring revenue, funded partly by $1B in new loans.
Guidewire agreed on Oct. 27 to acquire London-based hyperexponential for a base purchase price of $1.7 billion in cash, subject to adjustments, plus up to $400 million in contingent consideration tied to specified recurring revenue targets. The insurance software maker will fund the deal with $1 billion in new term loans from Bank of America and Citibank.
hyperexponential, founded in 2017, sells an agentic platform for AI-native underwriting and pricing to commercial property and casualty insurers. It had publicly disclosed $91 million in funding. The $2.1 billion maximum deal value is not a stated company valuation; it is the base price plus the full earnout.
Guidewire frames the purchase as a move to define what it calls agentic underwriting, in which AI agents work alongside underwriters and actuaries to assess risk, price it, and make decisions. hyperexponential was already a Guidewire PartnerConnect Technology Alliance Partner, so the two companies have an existing commercial relationship. Guidewire chief executive Mike Rosenbaum said the company was "delighted to welcome Amrit Santhirasenan and the team at hyperexponential to Guidewire."
The structure carries the signal. Guidewire is paying $1.7 billion upfront for a company that had disclosed $91 million in funding, and it is borrowing $1 billion to do it. That earnout is the part worth watching: it shows a buyer willing to pay for AI revenue only if it actually recurs, rather than treating a pilot or a one-off contract as proof of a business.
For insurers, the deal points toward underwriting and pricing AI being bundled into core P&C software platforms rather than bought standalone. For the wider enterprise AI market, it is a template: large cash commitments, partly debt-funded, with the riskiest portion of the price deferred until the revenue proves durable.
